A member’s motion, presented from the floor of the 2021 AGM on November 20, 2021, requested that the organization move into a trusteeship of three leadership positions with the purpose to organize a Special General Meeting (SGM) in January 2022 to elect a full board.

This motion passed successfully and the membership in attendance elected Andy Glydon, Rosie Shaw, and Peter Savoie to hold the organization in trust until the SGM.

The trustees are currently working on resuming control of the organization, including working with the auditors to obtain financial statements for the SGM. They will then begin to plan and gather the other necessary documents, strike a new, independent nominations committee, solicit nominations from the membership, engage an elections official, and prepare for a smooth transfer of power to the new Board of Directors.

The SGM will be held virtually via Zoom to provide greatest accessibility for all members, and in accordance with current provincial Public Health guidelines.

FAQs

  • As per section 10.11 of the Bylaws,

    “Only members are entitled to be present at a members meeting, except for:

    (a) The public accountant for the Corporation,

    (b) The auditor, if any, for the Corporation,

    (c) Any other individuals invited by the Chair of the meeting, or

    (d) By resolution of the members.”

  • As per the Bylaws, a Special General Meeting may be called for a specified matter.

    “Only the matter set out in the notice for the Special General Meeting is to be considered at the Special General Meeting.”

    The SGM scheduled for January has been called to complete the election of the Board of Directors.

  • Pride PEI’s Annual General Meeting is held each year to deliver Director and Committee reports to the membership, and to hold the annual election for Board of Directors.

    A Special General Meeting is called to address a singular matter.
